JOB DESCRIPTION
Why Join Omnicell?
At Omnicell, we are transforming the pharmacy care delivery model to improve patient outcomes, enhance operational efficiency, and enable innovation across the healthcare ecosystem. As Sr. Counsel, Commercial & Product – Specialty Pharmacy Solutions, you will play a critical role at the intersection of law, technology, and healthcare—partnering directly with product, engineering, quality, privacy, security, compliance, and commercial teams to bring impactful specialty pharmacy solutions to market. This is a highly visible role for a strategic legal leader who thrives in fast‑moving, product‑driven environments and enjoys shaping scalable, compliant frameworks that accelerate innovation while managing risk.
What You’ll Do
Primary Impact: Enable compliant, scalable commercialization of specialty pharmacy products by embedding legal strategy across the full product lifecycle—from concept through end of life.
As Sr. Counsel, Commercial & Product – Specialty Pharmacy Solutions, you will:
- Serve as a trusted business partner to product, engineering, quality, finance, privacy, security, risk, and compliance teams, providing practical, actionable legal guidance throughout the full product lifecycle.
- Identify, assess, and mitigate legal risk related to product features, data use, integrations, distribution models, and ecosystem partnerships.
- Translate complex legal and regulatory requirements into clear, scalable product and business solutions that enable speed‑to‑market while protecting Omnicell.
- Collaborate closely with compliance and privacy teams to embed regulatory, privacy, and security requirements into product design and operational processes.
- Lead negotiations for ecosystem partner agreements, including co‑marketing, co‑development, reseller, data‑sharing, API, platform, and licensing agreements.
- Develop and maintain customer‑facing contract terms, including standard product terms, end‑user agreements, and commercialization templates.
Structure and negotiate indemnification, limitation of liability, and IP protections aligned with Omnicell’s risk tolerance and product strategy. - Advise on go‑to‑market risk, including product claims, positioning, and promotional materials.
- Establish product‑related legal processes, guardrails, and training to support fast, compliant, and consistent decision‑making across teams.
Who You Are
Minimum Qualifications
- Juris Doctor (J.D.) and active membership in good standing with a U.S. state Bar
- 5+ years of experience drafting, reviewing, and negotiating complex commercial transactions, including technology and SaaS agreements, from both customer and supplier perspectives
- Demonstrated experience working in matrixed organizations, collaborating closely with product management and/or engineering teams
- Healthcare industry experience, with a strong preference for pharmacy and/or specialty pharmacy environments
- Strong contract negotiation skills with the ability to clearly explain legal and business positions to diverse stakeholders
- Solid understanding of product, technical, and data‑driven business models, including data flows and integrations
- Working knowledge of data privacy and security laws and their application to ecosystem and partner agreements
- Excellent written and verbal communication skills, with the ability to influence at all organizational levels
- Proven ability to manage competing priorities, meet demanding deadlines, and operate with minimal supervision
- High attention to detail, strong organization skills, and proficiency with Microsoft Office
Preferred Qualifications
- Experience supporting fast‑growing technology companies
- Experience working in a publicly traded company
- Working knowledge of pharmacy regulations, Anti‑Kickback Statute (AKS), HIPAA, and data privacy laws in a SaaS or digital health context involving PII and/or PHI
