Associate Counsel
Job Summary
The Associate Counsel is responsible for supporting the Senior VP, General Counsel and Corporate Secretary and the Associate General Counsel in contract preparation and review, intellectual property (IP) management, and general corporate matters. What you will do
- Manage and process the Company’s Global IP Portfolio, including all patents and trademarks. Work with outside counsel to prepare and file all patent and trademark filings and managing the total portfolio internally.
- Assist in the protection of the Company’s legal interests and operations within the scope of applicable law and regulation.
- The job will require counsel to act independently in the identification and analysis of legal issues and in the preparation and interpretation of necessary legal documents.
- Work on commercial contracts and corporate law, including key areas of concentration such as contract preparation and review, legal policy and acquisition due diligence.
- Review, draft and negotiate contracts, including, but not limited to, purchasing, sales agreements and/or leases, non-disclosure agreements, licensing arrangements, distribution agreements, manufacturing agreements, consultancy agreements, letters of intent, corporate documents, etc.
- The successful candidate will conduct extensive review of customer and vendor contracts.
- Other duties as assigned.
What we look for
- J.D. degree required from an ABA accredited law school and current license to practice law in a US state jurisdiction.
- Seeking a self-starting attorney with 3+ years of general corporate experience with a law firm and/or as in-house counsel.
- A demonstrated ability to handle multiple projects effectively, and work as both a team player and independently. A strong initiative to manage and complete projects and a wide degree of creativity to problem-solve. The ability to deal effectively with clients, including senior management. Professional demeanor with ability to work in a team oriented, fast-paced environment. Excellent academic credentials, analytical, communication skills and MS Office Suite/Computers skills.
- Exceptional verbal and written communication skills, capable of providing sound and timely advice, and able to make a positive contribution to a very collegial working environment.
- Comfortable working in an international business and across varying cultures; and availability for occasional travel.
