Job Title: Contract Specialist (Contract)

Job Summary:
Our client is seeking a Contract Specialist to work in a contractor capacity to review, negotiate, and manage a variety of commercial contracts. This role supports the full contract lifecycle, including drafting, redlining, execution, and contract administration, while ensuring accurate tracking and collaboration with internal stakeholders.

Key Responsibilities:

• Draft, review, redline, negotiate, and finalize commercial contracts including master services agreements, non-disclosure agreements, licensing agreements, and cooperation agreements.
• Manage contracts through the full lifecycle from request through execution.
• Ensure key contract terms are properly addressed, including indemnity, insurance, limitation of liability, warranties, force majeure, and payment terms.
• Partner with internal teams to support timely contract review and execution.
• Provide guidance on contract workflows, standard clauses, and contract review timelines.
• Participate in cross-functional projects to ensure contractual considerations are addressed.
• Maintain accurate contract records and support contract administration, tracking, and reporting.
• Assist in resolving contract-related issues and escalate when necessary.

Qualifications:

• Bachelor’s degree in Business, Communications, or a related field; Paralegal certification is a plus.
• Minimum of 3 years of experience in contract drafting, review, and negotiation.
• Experience in a law firm or in-house legal department preferred.
• Strong knowledge of commercial contract terms and contract law principles.
• Proficiency in Microsoft Office, particularly advanced Word skills.
• Experience with Contract Lifecycle Management (CLM) systems required; Jira or iCertis experience is a plus.
• Strong analytical, organizational, and communication skills with excellent attention to detail.
